{"id":148500,"date":"2024-05-31T16:00:34","date_gmt":"2024-05-31T22:00:34","guid":{"rendered":"https:\/\/centrourbano.com\/revista\/?p=148500"},"modified":"2024-05-31T11:36:57","modified_gmt":"2024-05-31T17:36:57","slug":"funo-fusion-portafolios-industriales","status":"publish","type":"post","link":"https:\/\/centrourbano.com\/revista\/inmobiliario\/funo-fusion-portafolios-industriales\/","title":{"rendered":"FUNO presenta propuesta para fusionar tres portafolios industriales"},"content":{"rendered":"<p><em>La propuesta de FUNO consolidar\u00eda un portafolio industrial de 487 propiedades y una ABR de 11.6 millones de m\u00b2<\/em><!--more--><\/p>\n<p><a href=\"https:\/\/funo.mx\/?utm_campaign=Institucional%202022&amp;utm_source=ppc&amp;utm_content=L%C3%ADderes%20en%20bienes%20inmuebles&amp;gad_source=1&amp;gclid=Cj0KCQjw6uWyBhD1ARIsAIMcADrrg1f7oMY7gaOzgt4z9mubYzaYk9Vcrv-JJJ0ObWSISwqVsOhsO8UaAgYTEALw_wcB\" target=\"_blank\" rel=\"noopener\">Fibra Uno<\/a> (FUNO)\u00a0present\u00f3 una oferta para <strong>fusionar su portafolio<\/strong> equivalente a 6.1 millones de metros cuadrados (m\u00b2), al de <strong>J\u00fapiter<\/strong>, de\u00a0e-Group, con 1.5 millones de m\u00b2 y <strong>Terra<\/strong> de\u00a0FIBRA Terrafina, con 3.9 millones de metros cuadrados. La propuesta tiene el objetivo de <strong>aprovechar oportunidades del\u00a0nearshoring<\/strong>,\u00a0comercio electr\u00f3nico\u00a0y\u00a0log\u00edstica\u00a0en M\u00e9xico.<\/p>\n<p>De esta forma, de acuerdo con SiiLA, FUNO propone crear\u00a0crear el <strong>mayor veh\u00edculo de\u00a0inversi\u00f3n industrial<\/strong><strong>\u00a0<\/strong>en M\u00e9xico. Ya que la iniciativa contempla <strong>487 propiedades<\/strong> en 23 estados; es decir, un <strong>\u00c1rea Bruta Rentable<\/strong> (ABR) <strong>combinada de 11.6 millones de m\u00b2 <\/strong>y una reserva territorial adicional de 6 millones de m\u00b2.<\/p>\n<p>Igualmente, la consultora inmobiliaria se\u00f1al\u00f3 que, de concretarse la fusi\u00f3n, el portafolio combinado tendr\u00eda una\u00a0<strong>tasa de ocupaci\u00f3n\u00a0del 97.8<\/strong><strong> por ciento<\/strong>. Adem\u00e1s, en t\u00e9rminos de ABR, su tama\u00f1o ser\u00eda entre 2.6 y 8.3 veces m\u00e1s grande que los portafolios industriales de los FIBRAs de M\u00e9xico.<\/p>\n<h2>Condiciones de la propuesta de FUNO<\/h2>\n<p><a href=\"https:\/\/centrourbano.com\/revista\/?s=siiLA\" target=\"_blank\" rel=\"noopener\">SiiLA<\/a> tambi\u00e9n indic\u00f3 que, seg\u00fan FUNO, esta oferta contempla una fusi\u00f3n de activos entre iguales, sin primas ni sobreprecios; misma que generar\u00e1 <strong>beneficios econ\u00f3micos estimados en 3,000 millones de d\u00f3lares<\/strong> (mdd) para los inversionistas del nuevo veh\u00edculo de inversi\u00f3n.<\/p>\n<p>Adem\u00e1s, la fusi\u00f3n de los tres portafolios industriales maximizar\u00e1 el valor de los\u00a0Certificados Burs\u00e1tiles Fiduciarios Inmobiliarios\u00a0(CBFIs) de Terrafina. Pues Fibra Uno contempla que, al realizarse su propuesta, cada <strong>CBFI de Terrafina tendr\u00e1 un valor m\u00ednimo de 49.63 pesos<\/strong>. Precio que SiiLA se\u00f1al\u00f3, representa un 10% y 40% superior a los valores m\u00e1ximo y m\u00ednimo de cotizaci\u00f3n de los CBFIs de Terrafina en los \u00faltimos cinco meses.<\/p>\n<p>Por otro lado, se espera que el equipo de administraci\u00f3n de la fusi\u00f3n de los portafolios sea independiente e internalizado, con altos est\u00e1ndares de\u00a0<strong>gobierno corporativo<\/strong>. De manera que contar\u00eda con una gesti\u00f3n aut\u00f3noma enfocada en\u00a0<strong>mejorar los rendimientos<\/strong>\u00a0de todos los inversionistas.<\/p>\n<p>Cabe mencionar que la<strong> propuesta estar\u00e1 vigente por 45 d\u00edas naturales <\/strong>a partir del 24 de mayo de 2024. La implementaci\u00f3n de la propuesta estar\u00e1 sujeta a procesos de revisi\u00f3n, condiciones y aprobaciones necesarias de las partes involucradas.<\/p>\n<p>Finalmente, mediante un comunicado ante la\u00a0Bolsa Mexicana de Valores (BMV) Fibra Uno inform\u00f3 que la fusi\u00f3n propuesta <strong>generar\u00e1 ingresos aproximados de 14,860 mdp<\/strong>. De dichos ingresos, el fideicomiso contempla que <strong>13,867 mdp correspondan al\u00a0Ingreso Operativo Neto<\/strong>\u00a0(NOI), Adem\u00e1s, la fibra considera que las operaciones de los portafolios generen un\u00a0<strong>EBITDA\u00a0de 12,705 millones de pesos<\/strong> con un margen del 85.5 por ciento.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>La propuesta de FUNO
